Acceptance of Terms

By creating an account, accessing or using QualiBot services, you acknowledge that you have read, understood and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not use our services.

These terms constitute a legally binding agreement between you (either an individual or entity) and Kanz.ai, the company behind QualiBot. We reserve the right to modify these terms at any time, and your continued use of our services constitutes acceptance of any changes.

Account Registration and Eligibility

To use QualiBot, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Provide accurate, current and complete registration information
• Maintain and promptly update your account information
• Be responsible for maintaining the confidentiality of your account credentials
• Accept responsibility for all activities that occur under your account

You agree to immediately notify us of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage arising from your failure to comply with these security obligations.

Description of Services

QualiBot provides an AI-powered omnichannel conversation platform, including but not limited to:

• Automated conversation handling across connected channels such as WhatsApp, Instagram, Telegram, LINE, Messenger, website chat, email, SMS and custom API channels
• Lead qualification and knowledge-based customer support
• Appointment and follow-up scheduling
• CRM integration and data synchronization
• Automation, campaign and analytics tooling
• Human handoff within the same conversation

We reserve the right to modify, suspend or discontinue any aspect of our services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension or discontinuation of services.

User Responsibilities and Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these terms. You agree not to:

• Violate any applicable laws, regulations or third-party rights
• Use the service for any fraudulent, illegal or unauthorized purpose
• Send spam, unsolicited messages or engage in harassment
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the integrity or performance of our services
• Attempt to gain unauthorized access to our systems or networks
• Reverse engineer, decompile or disassemble any aspect of our services
• Use automated systems to access our services without authorization
• Collect or harvest any personally identifiable information from other users
• Upload or transmit viruses, malware or any malicious code

Intellectual Property Rights

All content, features and functionality of QualiBot services, including but not limited to text, graphics, logos, icons, images, audio clips, software and the compilation thereof, are the exclusive property of Kanz.ai or its licensors and are protected by international copyright, trademark, patent, trade secret and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our services for their intended purpose. This license does not include any right to:

• Resell or commercially exploit our services or content
• Modify, adapt or create derivative works
• Remove or modify any copyright, trademark or proprietary notices
• Use our services in any way that competes with our business

Payment Terms and Billing

By subscribing to our paid services, you agree to pay all applicable fees as described in our pricing plans. Payment terms include:

• All fees are in UAE Dirhams (AED) unless otherwise stated
• Subscription fees are billed in advance on a monthly or annual basis
• One-time setup fees, where applicable, are due upon account activation
• You authorize us to charge your payment method for all fees
• Fees are non-refundable except as required by law or as explicitly stated
• We reserve the right to change pricing with 30 days notice
• Failure to pay may result in suspension or termination of services

Disclaimers and Limitations of Liability

We do not warrant that:

• Our services will be uninterrupted, timely, secure or error-free
• The results obtained from using our services will be accurate or reliable
• The quality of any products, services or information obtained will meet your expectations
• Any errors or defects in our services will be corrected

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill or other intangible losses.

Our total liability to you for all claims arising from or related to these terms or our services shall not exceed the amount you paid us in the 12 months preceding the claim, or AED 1,000, whichever is greater.

Data Protection and Privacy

Your use of our services is also governed by our Privacy Policy. We collect, use and protect your data in accordance with applicable data protection laws and our Privacy Policy. By using our services, you consent to such collection and use of your data.

You are responsible for ensuring that any data you provide or process through our services complies with all applicable privacy and data protection laws, including obtaining necessary consents from your end users.

Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include but are not limited to:

• Violation of these Terms of Service
• Fraudulent, illegal or abusive behavior
• Non-payment of fees
• Inactivity for an extended period
• Request by law enforcement or government agencies

You may terminate your account at any time by contacting us. Upon termination, your right to use our services will immediately cease. We are not obligated to retain your data after termination, though we may retain certain information as required by law or for legitimate business purposes.

Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

Any dispute arising from or relating to these terms or our services shall be resolved through:

1. Good faith negotiations between the parties
2. If negotiations fail, mediation by a mutually agreed mediator
3. If mediation fails, binding arbitration in Dubai, UAE under the Dubai International Arbitration Centre (DIAC) rules

The arbitration shall be conducted in English, and the decision of the arbitrator shall be final and binding on both parties.

Indemnification

You agree to indemnify, defend and hold harmless Kanz.ai, its affiliates, officers, directors, employees, agents and licensors from and against any claims, liabilities, damages, losses, costs or expenses (including reasonable attorneys’ fees) arising from:

• Your use or misuse of our services
• Your violation of these Terms of Service
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations
• Any content or data you submit through our services

General Provisions

Entire agreement: these terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and QualiBot regarding the use of our services.

Severability: if any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver: no waiver of any term of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term.

Assignment: you may not assign or transfer these terms or your rights hereunder without our prior written consent. We may assign these terms without restriction.

Force majeure: we shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics or governmental actions.
